Terms of Service

You may use DemAgora only if you are legally capable of entering into a binding agreement with Principle Solutions LLC and your use of the Service is permitted by applicable law.

You may not use the Service if you have previously been suspended or banned from DemAgora unless Principle Solutions LLC expressly authorizes your return.

If you use the Service on behalf of a business, organization, government entity, or other legal entity, you represent that you have authority to bind that entity to these Terms.

Certain features of DemAgora require an account.

You agree to provide accurate information, maintain the security of your account credentials, and promptly notify us if you believe your account has been compromised.

You are responsible for activity occurring through your account to the extent permitted by law.

Accounts, usernames, display names, profile identifiers, Agorum names, Agorum slugs, URLs, and similar identifiers are provided for use within the Service. They are not property rights granted to users.

Principle Solutions LLC may reclaim, modify, reserve, restrict, or reassign any username, display name, Agorum name, slug, URL, identifier, or similar designation when we determine it is appropriate.

You may not sell, transfer, license, rent, or otherwise provide your DemAgora account to another person without our prior written permission.

DemAgora is a privately operated platform owned and controlled by Principle Solutions LLC.

Principle Solutions LLC retains ultimate authority over the Service, including accounts, Agorums, moderation systems, features, rankings, scores, recommendations, content presentation, and access to the Service.

To the maximum extent permitted by applicable law, we may take actions concerning the Service when and how we determine appropriate, including actions intended to protect the Service, its users, Principle Solutions LLC, third parties, or the integrity, operation, purpose, or interests of DemAgora.

No provision of these Terms requires Principle Solutions LLC to continue providing any particular account, Agorum, feature, functionality, moderation arrangement, content, ranking, score, or service.

Creating an Agorum does not create ownership rights

Creating, moderating, naming, developing, growing, or participating in an Agorum does not give you ownership of the Agorum or any permanent right to control it.

Agorums exist solely as features of the DemAgora Service. Principle Solutions LLC owns and controls the DemAgora platform and retains ultimate administrative authority over every Agorum.

An Agorum creator's status as creator, Prime Moderator, moderator, or administrator is a revocable platform privilege, not an ownership interest, property right, contractual entitlement, or permanent position.

Prime Moderators and moderators

DemAgora may designate a user as the Prime Moderator of an Agorum and may permit additional moderators.

Principle Solutions LLC may, at any time and to the maximum extent permitted by law:

• remove or replace a Prime Moderator;
• designate a new Prime Moderator;
• cause Principle Solutions LLC, its owner, an employee, representative, Platform Moderator, or another person selected by us to become the Prime Moderator;
• add or remove moderators;
• modify moderator permissions;
• override any action or decision of an Agorum moderator or Prime Moderator;
• restrict or revoke a moderator's access or authority;
• assume direct control of an Agorum;
• change an Agorum's name, slug, description, category, settings, rules, appearance, or other attributes;
• merge, divide, reorganize, restrict, archive, quarantine, suspend, or close an Agorum; or
• permanently delete an Agorum.

We may exercise these rights with or without cause and, where permitted by law, with or without prior notice.

No moderator or Prime Moderator is an employee, agent, partner, representative, or spokesperson of Principle Solutions LLC merely because of that role. Users acting as moderators act independently unless Principle Solutions LLC expressly states otherwise in writing.

No entitlement to an Agorum

Popularity, membership, moderator tenure, contribution history, creation of an Agorum, or investment of time or effort into an Agorum does not create a right to continued control of that Agorum.

You acknowledge that Principle Solutions LLC has final authority regarding the administration and continued existence of every Agorum on DemAgora.

"User Content" means anything you submit, upload, publish, post, transmit, create, contribute, or otherwise make available through DemAgora, including posts, comments, replies, titles, text, images, photographs, graphics, links, profile content, Agorum descriptions, moderation materials, and other materials.

You are responsible for ensuring that you have all rights necessary to submit User Content to DemAgora. You may not submit material that you do not have the legal right to submit or transfer as described in these Terms.

Assignment of rights to Principle Solutions LLC

This assignment applies to rights you own in the particular expression you contribute. It does not give Principle Solutions LLC ownership of underlying facts, ideas, concepts, works owned by third parties, trademarks owned by others, or other material that cannot legally be transferred by you.

Where any right in User Content cannot legally be assigned, or where an assignment is determined to be ineffective, you instead grant Principle Solutions LLC a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, fully paid-up, royalty-free license to host, store, reproduce, use, modify, adapt, translate, publish, distribute, publicly display, publicly perform, communicate, excerpt, analyze, index, promote, create derivative works from, and otherwise exploit that User Content in any media or technology now known or later developed, for any lawful purpose connected with DemAgora, Principle Solutions LLC, or their businesses and services.

To the extent permitted by applicable law, you waive and agree not to assert moral rights or similar rights that would interfere with the rights granted to Principle Solutions LLC under these Terms.

You agree to execute reasonable additional documents if necessary to confirm rights granted or assigned under this section.

Except where prohibited by law or separately agreed in writing, you are not entitled to compensation, royalties, revenue sharing, attribution, or other payment because Principle Solutions LLC owns, licenses, displays, distributes, promotes, monetizes, or otherwise uses User Content.

Content may remain after account deletion

Deleting your account does not automatically require Principle Solutions LLC to delete User Content.

Subject to applicable privacy and other laws, User Content may remain on DemAgora after you delete your account, leave an Agorum, are suspended or banned, or otherwise stop using the Service.

We may preserve, anonymize, attribute, de-identify, remove, modify, archive, or continue displaying such content as permitted by applicable law.

Principle Solutions LLC has the right, but except where required by law does not undertake an obligation, to monitor, review, investigate, moderate, edit, restrict, label, reduce the visibility of, move, lock, archive, or remove User Content.

We may take such action when we believe it appropriate, including when content violates these Terms or another policy, creates legal or operational risk, interferes with the Service, threatens users or third parties, undermines the integrity or intended operation of DemAgora, or is otherwise inappropriate for the Service.

The fact that content remains available does not mean Principle Solutions LLC approves, endorses, verifies, or agrees with it. Likewise, removing or restricting content does not create an obligation to remove or restrict similar content.

Enforcement decisions may involve judgment and may not always be consistent across different circumstances. Nothing in these Terms guarantees a particular moderation result.

Principle Solutions LLC may restrict, suspend, disable, or terminate your account or your access to any part of DemAgora, subject to applicable law.

This authority includes the ability to:

• temporarily suspend an account;
• permanently terminate an account;
• impose a DemAgora-wide ban;
• ban a user from one or more Agorums;
• prevent a user from posting, commenting, voting, creating Agorums, moderating, or using particular features;
• remove moderator or Prime Moderator privileges;
• restrict account functionality;
• remove or restrict User Content; and
• take reasonable measures to prevent a suspended or banned user from circumventing enforcement.

Where permitted by applicable law, we may take these actions with or without prior notice and with or without providing a reason.

We may take action based on violations of these Terms or other Dem Agora policies, legal requirements, security concerns, abuse prevention, risks to users or third parties, risks to Principle Solutions LLC, attempts to evade enforcement, disruption of the Service, or other reasons we determine warrant action.

You do not have a contractual right to continued access to Dem Agora.

Creating another account to evade a suspension, restriction, or ban is prohibited unless Principle Solutions LLC expressly permits your return.

You agree not to use DemAgora to violate applicable law or the rights of another person.

Without limiting that obligation, you may not:

• impersonate another person in a deceptive manner;
• fraudulently misrepresent your identity or affiliation;
• threaten, stalk, harass, or unlawfully discriminate against another person;
• publish unlawful threats or facilitate unlawful violence;
• exploit or endanger minors;
• distribute malware or malicious code;
• interfere with the security or operation of the Service;
• gain unauthorized access to accounts, systems, or data;
• scrape, crawl, harvest, or systematically collect Service data through automated means except as expressly authorized by Principle Solutions LLC;
• spam or manipulate engagement;
• artificially manipulate votes, rankings, reputation, AgoraScores, DemaScores, recommendations, or other platform systems;
• circumvent bans, restrictions, rate limits, access controls, or security measures;
• use bots or automated accounts without our permission;
• infringe copyrights, trademarks, privacy rights, publicity rights, or other rights;
• submit content you lack authority to submit;
• use DemAgora to commit fraud or other unlawful activity; or
• assist another person in doing any of the foregoing.

Additional Community Guidelines or Agorum-specific rules may supplement these requirements.

DemAgora may provide votes, reputation measurements, rankings, recommendations, AgoraScores, DemaScores, AI-generated analyses, AI-ness estimates, moderation indicators, and other metrics or classifications.

These systems are features of the Service and are not guarantees of truth, accuracy, credibility, quality, morality, authenticity, or any other characteristic.

Principle Solutions LLC may create, modify, recalculate, replace, reset, suppress, discontinue, or otherwise change these systems and their methodologies at any time.

Users have no ownership interest or vested right in any vote total, score, reputation level, ranking, recommendation position, moderation status, membership count, or similar platform metric.

Attempts to manipulate these systems are prohibited.

DemAgora may use artificial intelligence, machine learning, algorithms, automated systems, or third-party AI services to analyze content or provide features.

These systems may produce summaries, classifications, argument analysis, logical analysis, principle analysis, AI-ness estimates, AgoraScores, recommendations, or other outputs.

Automated outputs may be inaccurate, incomplete, inconsistent, or mistaken. They should not be treated as statements of objective fact merely because they are generated or displayed by DemAgora.

Principle Solutions LLC does not guarantee the accuracy, reliability, completeness, fairness, or suitability of any AI-generated or automated output. You remain responsible for evaluating information presented through the Service.

User Content represents the views of the users who submit it, not necessarily the views of Principle Solutions LLC.

Principle Solutions LLC does not endorse, adopt, verify, or guarantee User Content merely because it appears on DemAgora.

You may encounter material that you consider inaccurate, offensive, objectionable, misleading, or otherwise undesirable. To the maximum extent permitted by law, Principle Solutions LLC is not responsible for User Content submitted by users or for actions users take based on User Content.

Except for rights belonging to third parties, the Service and its software, design, branding, logos, graphics, interfaces, databases, organization, functionality, scoring systems, analysis systems, and other proprietary elements are owned by or licensed to Principle Solutions LLC and are protected by applicable intellectual property laws.

These Terms do not grant you ownership of any part of the Service.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use DemAgora for its intended purposes while you comply with these Terms. No other rights are granted except as expressly stated.

If you provide ideas, suggestions, proposals, feedback, feature requests, or other recommendations regarding DemAgora, you grant Principle Solutions LLC the unrestricted, perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use and commercialize that feedback without compensation or obligation to you.

Principle Solutions LLC respects intellectual property rights. If you believe content available through DemAgora infringes your copyright, you may contact us at info@demagora.com.

We may remove allegedly infringing material and may restrict or terminate accounts of repeat infringers when appropriate.

Additional copyright notice and counter-notice procedures may be provided in a separate Copyright or DMCA Policy.

Our collection, use, storage, and disclosure of personal information are addressed in the DemAgora Privacy Policy.

By using the Service, you acknowledge that your information will be handled as described in that policy and as permitted by applicable law.

DemAgora may contain links to third-party websites or integrate services operated by third parties.

Principle Solutions LLC does not control and is not responsible for third-party services, their content, availability, security, or privacy practices.

Your use of third-party services may be governed by separate terms between you and those providers.

DemAgora is an evolving service. We may add, remove, modify, suspend, restrict, replace, or discontinue features or portions of the Service.

We do not guarantee that any particular feature, content, Agorum, account function, scoring methodology, URL, data format, or functionality will remain available.

To the maximum extent permitted by applicable law, Principle Solutions LLC is not liable for modification, suspension, or discontinuation of the Service or any feature.

We may update these Terms from time to time.

When required by law, we will provide notice of material changes. The updated Terms will identify their effective date.

Your continued use of DemAgora after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. If you do not agree to updated Terms, you must stop using the Service.

Principle Solutions LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and security.

We do not warrant that the Service will be uninterrupted, error-free, secure, accurate, or free from harmful components. Some jurisdictions do not permit certain warranty disclaimers, so portions of this section may not apply to you.

To the maximum extent permitted by applicable law, Principle Solutions LLC and its owners, members, managers, officers, employees, contractors, representatives, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, use, business opportunities, or other intangible losses arising from or relating to the Service.

This includes damages arising from:

• your access to or inability to access the Service;
• User Content;
• actions of other users;
• moderation or enforcement decisions;
• removal or retention of content;
• suspension or termination of accounts;
• changes in Agorum control or moderation;
• loss of moderator or Prime Moderator status;
• AI-generated analysis or automated decisions;
• scores, rankings, recommendations, or voting systems;
• unauthorized access to or alteration of information; or
• changes to or discontinuation of the Service.

To the maximum extent permitted by law, the total aggregate liability of Principle Solutions LLC for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (A) the amount you paid directly to Principle Solutions LLC for the Service during the twelve months before the event giving rise to the claim or (B) one hundred U.S. dollars ($100).

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Principle Solutions LLC and its owners, members, managers, officers, employees, contractors, representatives, affiliates, licensors, and service providers from claims, liabilities, damages, judgments, losses, expenses, and costs, including reasonable attorneys' fees, arising from or relating to your use or misuse of DemAgora, your User Content, your violation of these Terms or applicable law, your violation of another person's rights, or your conduct in connection with an Agorum or moderation role.

Principle Solutions LLC reserves the right to control the defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

Informal resolution

Before filing a formal legal claim, you and Principle Solutions LLC agree to make a good-faith effort to resolve the dispute informally.

A party initiating a dispute must provide written notice describing the dispute, relevant facts, requested relief, and sufficient contact information to permit a response. Notices to Principle Solutions LLC may be sent to info@demagora.com.

The parties will have at least 30 days after receipt of the notice to attempt informal resolution before initiating arbitration or litigation, except where immediate injunctive relief is reasonably necessary.

Governing law

These Terms and disputes arising from them will be governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except to the extent federal law or other applicable law requires otherwise.

Arbitration

Except for disputes that applicable law does not permit to be arbitrated and the exceptions described below, you and Principle Solutions LLC agree that disputes arising from or relating to these Terms, DemAgora, or your relationship with Principle Solutions LLC will be resolved through final and binding individual arbitration rather than a lawsuit in court.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or unwilling to administer a particular arbitration, the parties will select another mutually agreeable arbitration provider or, if they cannot agree, ask a court of competent jurisdiction to appoint an arbitrator or arbitration provider.

Jury trial waiver

To the extent permitted by law, you and Principle Solutions LLC waive the right to a trial by jury for disputes covered by this arbitration agreement.

Class-action waiver

To the maximum extent permitted by law, you and Principle Solutions LLC agree that claims may be brought only in an individual capacity and not as a plaintiff, class member, or representative in a class, collective, consolidated, or representative action.

An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.

Exceptions

Nothing in this section prevents either party from:

• bringing an eligible individual action in small claims court;
• seeking appropriate injunctive or equitable relief concerning infringement or misuse of intellectual property;
• seeking relief concerning unauthorized access to or abuse of the Service; or
• pursuing another remedy that applicable law expressly prohibits the parties from requiring to be arbitrated.

Arbitration opt-out

You may opt out of this arbitration agreement by sending written notice to info@demagora.com within 30 days after you first agree to these Terms.

Your notice must identify you sufficiently for us to locate your account and clearly state that you are opting out of the arbitration agreement. Opting out of arbitration does not opt you out of any other portion of these Terms.

You may stop using DemAgora at any time.

Principle Solutions LLC may terminate your permission to use the Service as described in these Terms.

Provisions that by their nature should survive termination will survive, including provisions concerning User Content rights, intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and other accrued rights and obligations.

If Principle Solutions LLC does not enforce a provision of these Terms in one circumstance, that does not waive our right to enforce it later or in another circumstance.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent legally permissible and the remaining provisions will remain in effect, except where applicable law requires a different result.

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Principle Solutions LLC.

Principle Solutions LLC may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, sale of assets, financing, change of control, corporate restructuring, or otherwise as permitted by law.

These Terms, together with the Privacy Policy, Community Guidelines, and any additional terms or policies expressly incorporated into them, constitute the agreement between you and Principle Solutions LLC concerning your use of DemAgora and supersede prior agreements concerning the same subject matter.

Principle Solutions LLC may modify, add, remove, restrict, suspend, or discontinue any aspect of the Service, including features, functionality, access levels, membership offerings, limits, eligibility requirements, and availability, at any time. We may also establish or modify fees for any portion of the Service. Where applicable, changes will be subject to any notice or other requirements imposed by law.
